Reporting to 2Wire’s Vice President and General Counsel, the Corporate Counsel will be the third attorney in 2Wire’s legal department. The Corporate Counsel will have a high level of visibility and a wide scope of responsibilities. The Corporate Counsel’s primary responsibility will be managing 2Wire’s numerous and complex commercial transactions, including drafting and negotiating distribution agreements, inbound and outbound licensing agreements, manufacturing agreements, and a wide variety of other agreements. This position will be required to interact with top broadband carriers and distributors around the world, including among others AT&T, Telmex, BT, Bell Canada, SingTel and Telstra.
The Corporate Counsel will also assist with 2Wire’s marketing efforts, intellectual property protection and other projects and areas as assigned by the General Counsel. Depending on need, the Corporate Counsel may also support 2Wire’s litigation needs and mergers and acquisition efforts.

Responsibilities:
Primary responsibility for drafting and negotiating inbound and outbound licenses, distribution and other commercial agreements, that comply with company policies and risk tolerance.
Assist the General Counsel and other Legal team members on general company compliance matters.
Respond promptly and effectively to legal requests from senior management, marketing, corporate finance and other internal clients, and advise on recommended courses of action and legal risks.
Assist the Trade Practices Group with import/export compliance activities.
Support the continuous improvement of standard form agreements and legal processes.
Train employees on legal issues and company policies.
Handle special projects as requested
This position may perform other duties as assigned.
Qualifications:
Must have a JD from an accredited law school and be an active member of the California Bar.
Must have at least 4 years of relevant legal experience and demonstrated success. Prior in-house commercial counsel experience is a plus.
Must have in-depth experience handling distribution, licensing, and other commercial transactions, and experience advising clients on and structuring complex commercial transactions.
Excellent interpersonal skills, business judgment and strategic thinking, superior work ethic, dynamic and highly team-oriented, well organized, and able to work with cross-functional teams and manage numerous projects simultaneously under deadline pressure.
Flexibility and willingness to work on a broad variety of legal matters.
Sense of humor and commitment to professionalism.
Experience in telecom, Internet, or other high technology preferred.
Superior English language written and oral communication skills required.
Experience with issues pertaining to product development, open source, IP, technology licensing, commercial law, patent law and/or revenue recognition is preferred.
